Reply Consulting offers its services to support Businesses and relevant Banks (Sponsor/Global Coordinator) in the application to Borsa Italiana and Consob for being admitted to stock trading on the Italian telematic stock market (Blue Chips, Star, Standard and Expandi).

The support Reply has provided to more than 50 Businesses of all industries in the last years has enabled it to gain various successful experiences, develop trustworthy and reliable  relationships with the major Italian and international players (Banks, Advisors and Law Firms) and to design a flexible procedure seamlessly integrated with all the players involved in the listing process, even complex and with tight time-frame.

Reply offers itself as sole partner providing Businesses with the support to the drafting of the attachments related to the application for admission to stock trading; Reply offers support also to the relevant Sponsor with regard to the check of the mandatory requirements to be certified for Borsa Italiana S.p.A. and Consob. In particular, Reply can provide services tailored to  customer-specific requirements addressed to following areas:

Support to the Issuer:

  • Preliminary Business Assessment, aimed at understanding the main business processes and operations and targeted to the scheduling of the relevant remedy actions to be deployed in the different business areas (Organization, Business Processes, Information Systems and Regulatory Compliance) in order to ensure the full compliance with the admission rules outlined by Borsa Italiana;
  • Drafting of the “Management Presentation” of the Company;
  • Preparation of the Business Plan (in terms of quantity and quality);
  • Drafting of the “Quotation Management Admission Test” (Q.M.A.T.);
  • Drafting of the “Memorandum sul Sistema di Controllo di Gestione”.

Support to the Sponsor with regard to certificates (Comfort Letter):

  • “Suitability and reliability” of the Controlling System
  • Financial coherence, reliability and sustainability of the Business Plan
  • Correctness and reliability of non-accounting data published in the Prospectus and/or in the International Offering Circular
